TERMINATION

Except as set forth in "Other agreements; software, services or access", below, Strata Select may terminate, suspend, or modify your registration with, or access to, all or part of the Strata Select Websites, without notice, at any time and for any reason. You may discontinue your participation in and access to the Strata Select Websites at any time. If you breach any of these Terms, your authorization to use the Strata Select Websites automatically terminates and you must immediately destroy any downloaded or printed Materials (and any copies thereof).

The Strata Select Websites is provided "As Is" and "With All Faults" and the entire risk as to the quality and performance of the Strata Select Websites is with you. Should the Materials or Services prove defective, you, and not Strata Select, assume the entire cost of all necessary servicing and repair. LIMITATION OF LIABILITY

In no event will any of the Strata Select Parties be liable for (a) any indirect, special, consequential, punitive or exemplary damages or (b) any damages whatsoever (including without limitation, those resulting from loss of revenues, lost profits, loss of goodwill, loss of use, business interruption or other intangible losses), arising out of or in connection with the Strata Select Websites (including without limitation, use, inability to use or the results of use of the Strata Select Websites), whether such damages are based on warranty, contract, tort, statute or any other legal theory and even if any Strata Select Party has been advised (or should have known) of the possibility of such damages.

EXCLUSIONS AND LIMITATIONS

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain damages. Accordingly, some of the above disclaimers and limitations of liability may not apply to you. To the extent that any Strata Select Party may not, as a matter of applicable law, disclaim any implied warranty or limit its liabilities, the scope and duration of such warranty and the extent of the Strata Select Party's liability shall be the minimum permitted under such applicable law.

OTHER AGREEMENTS; SOFTWARE, SERVICE OR ACCESS

Strata Select may provide products (such as hardware or software) services (such as hardware maintenance or repair or software maintenance, installation, or training) or access to Strata Select Websites under the terms of a separate agreement between you and Strata Select (each, an "Other Agreement"). Strata Select's obligations with respect to any product, service, or access that it makes available to you under any Other Agreement shall be governed solely by the Other Agreement under which such product or service is provided and these Terms shall not be deemed or construed to alter the terms of such Other Agreements.

For example, the use of any software that is made available to download from the Strata Select Websites ("Software") is governed by the terms of the end user license agreement, if any, which accompanies or is included with the Software ("License Agreement"). You may not install any Software that is accompanied by or includes a License Agreement unless you first have agreed to the License Agreement terms. If no end user license agreement accompanies or is included with the Software, then such Software shall be deemed to be Materials hereunder and these Terms shall govern your use of such Software. Further reproduction or redistribution of any software is expressly prohibited, unless such reproduction or redistribution is expressly permitted by the License Agreement accompanying or included with such.

MODIFICATIONS TO STRATA SELECT WEBSITES

Strata Select reserves the right to modify, suspend, or discontinue the Strata Select Websites at any time without notice to you. For example, Strata Select may make changes to the Materials and/or Services, or to the products and prices described in them, at any time without notice. The Materials and Services may be out of date and Strata Select makes no commitment to update the Materials and Services whatsoever. Information published on a Site may refer to products, programs, or services that are not available in your country. USER SUBMISSIONS

Strata Select may, but is not obligated to, pre-screen User Submissions or monitor any area of the Strata Select Websites through which User Submissions may be submitted. You agree that you are solely responsible for all of your User Submissions. Strata Select is not required to host, display, or distribute any User Submissions on or through the Strata Select Websites and may remove at any time or refuse any User Submissions for any reason. Strata Select is not responsible for any loss, theft, or damage of any kind to any User Submissions. Strata Select does not want to receive any User Submission that is confidential. You understand and agree that any User Submission will be considered non-confidential and non-proprietary and that Strata Select will be free to disclose your User Submission to any third party absent any obligation of confidence on the part of the recipient. Strata Select does not guarantee that you will have any recourse through Strata Select or any third party to edit or delete any User Submission you have submitted.

By submitting any User Submission, you represent and warrant that: (a) you are at least 14 years old;
(b) you own all rights in your User Submissions (including, without limitation, all rights to the audio, video, or digital recording and the performance contained in your User Submissions) or, alternatively, you have acquired all necessary rights in your User Submissions to enable you to grant to Strata Select the rights in your User Submissions described herein;

(f) you voluntarily agree to waive all "moral rights" that you may have in your User Submission;
(g) any information contained in your User Submission is not known by you to be false, inaccurate, or misleading;
(h) your User Submission does not violate any Law (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination, or false advertising);

INDEMNIFICATION

MODIFICATIONS TO THESE TERMS

Strata Select may, in its sole and absolute discretion, change these Terms from time to time. Strata Select will post notice of such changes on the applicable Site. If you object to any such changes, your sole recourse shall be to cease using the Strata Select Websites. Continued use of the Strata Select Websites following notice of any such changes shall indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes. PERSONAL DATA

Personal Data means any data related to a person that allows that person to be identified such as your name, age, telephone number, e-mail and mailing address ("Personal Data").

Strata Select would like to collect, maintain and use your Personal Data to:
- fulfil its obligations under any sale and purchase contract and any other contract between you and Strata Select,
- provide customer care, including services related to Strata Select businesses, such as warranty and after sales services,
- ask your opinions on Strata Select products and services and conduct product surveys,
- facilitate and process your searches and requests for information on Strata Select and its products and services,
- provide you with the latest Strata Select products and services information, including upgrades and special offers in which you may be interested,
- improve Strata Select products and services for you,
- conduct prize draws, contests and other promotional offers,
- consider employing you if these data are requested on one of Strata Select's job application websites.

For these purposes, Strata Select may share, make available or transmit Personal Data to other Strata Select Group Companies (subject to Strata Select's strict compliance with applicable data protection laws). Strata Select collects data about you in several ways. For example, we might ask for your contact information when you correspond with Strata Select, call Strata Select to make a purchase or request service, register your purchased product for after sales service, register to participate in an on-line survey or to any promotional offers, chat rooms, or on bulletin boards.

Here are some of the most typical examples of how Strata Select collects your personal data.
- When you register a Strata Select product or service, we will collect your name, address data and the product or model name, etc.,
- When you ask our customer service for help, we will keep a record of your name, the product(s) you bought, the technical issues at hand, and our advice to you etc.,
- When you buy a product from us, or make a request to purchase, we record your name, contact details, the products you want to buy or bought and your requests to us. If you buy online an account will be created with your payment and shipping preferences. A credit check may have to be done if you decide to purchase a product or a service,

Strata Select makes every effort to take into account the various preferences you may have expressed over time in order to process your data in a consistent way. If for any reason you receive incorrect data, Strata Select Customer Service can be contacted to rectify this situation.

PRIVACY

Strata Select will not disclose Personal Data to third parties ("3Ps") other than Strata Select Group Companies, without your consent, except in the following cases:
Personal Data may be disclosed to sub-contracting 3Ps to enable the performance of contracts you are party to or for other purposes. Strata Select uses other companies to perform functions on its behalf, such as fulfilling orders, delivering packages, sending postal mail and e-mails, providing marketing assistance, processing credit card payments and providing customer services. Such companies will have access to personal data needed to perform these functions, but may not use it for any other purpose and are required to process the data in accordance with applicable law.
Personal Data may be disclosed to 3Ps to enable compliance with legal obligations to which Strata Select is subject. If Personal Data is disclosed to 3Ps to enable them to provide services for, on behalf of, or at the direction of Strata Select, then Strata Select takes measures to ensure that the 3Ps comply with our own privacy policy, and that such recipients:
- do not use the Personal Data for any other purposes than those permitted,
- obtain and process Personal Data only on condition that they protect that Personal Data from unauthorised use and adopt and comply with similarly stringent policies and terms on Personal Data protection and use,
- comply strictly with applicable laws.

Anonymous or generic data (including "generic" statistics) from which you cannot be identified are excluded from use, processing, disclosure, transmission and other Personal Data use restrictions.

POSTINGS TO FORUMS

Postings on certain Strata Select websites (whether in chat rooms, on message boards or via other methods of communication within the Forums) will generally be available to, and freely accessible by, other users of Strata Select Forums. Therefore, users should not expect any information they post to be kept private or confidential and they are encouraged to exercise discretion when using the Strata Select Forums. Additionally, your member name will always be posted in conjunction with your posting in the Strata Select Forums.

SECURITY OF COLLECTED DATA

Strata Select intends to protect your Personal Data and to maintain its quality. Strata Select will use all reasonable efforts to take all appropriate technical and organisational measures and precautions to keep Personal Data secure and protected from unauthorised access, use or alteration and unlawful destruction. CHILDREN'S PRIVACY

Strata Select does not knowingly solicit or collect Personal Data from or about children (aged 14 and under) without the consent of a parent or guardian, and Strata Select does not knowingly market its products or services to children. If Strata Select becomes aware that the person submitting Personal Data, through any part of Strata Select's websites, is a child, Strata Select will use reasonable efforts to delete that Personal Data from its files as soon as possible. Strata Select will also use reasonable efforts to ensure that this Personal Data is not used for any purpose, nor disclosed to any 3P. As Strata Select does not seek to collect any Personal Data about children, and Strata Select deletes any data collected inadvertently as soon as it is discovered, Strata Select retains no data about children that could be reviewed or deleted. If a parent requests review or deletion of data about their child before Strata Select has discovered and deleted the data, then Strata Select will of course honour that request.
